Ponyo AI — Terms of Use

1. Introduction

Ponyo AI Team ("Ponyo AI," "we," "our," or "us") provides an AI-powered video-generation service through our mobile applications and web site (collectively, the "Services"). These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and Ponyo AI. By creating an account, accessing, or using any part of the Services, you accept and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account. If you are under the age of majority, you may use the Services only with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

3. Changes to Terms

We may modify these Terms at any time. Material changes will be announced by (i) posting the updated Terms on our web site or (ii) emailing the address on file. Changes become effective immediately upon posting. Continued use of the Services after changes means you accept the revised Terms.

4. Licence & Scope of Use

Personal licence. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for personal, non-commercial purposes.
Commercial use. Commercial exploitation of generated content requires a separate written licence from Ponyo AI.
Ownership of Inputs & Outputs. You retain intellectual-property rights in the text, images, or other materials you upload ("Inputs") and in the videos the system generates for you ("Outputs"). You grant Ponyo AI and our service providers a worldwide, royalty-free licence to use Inputs and Outputs to operate, improve, and promote the Services—including training and fine-tuning our models—subject to applicable law.
Reservation of rights. Except for the licence expressly granted above, Ponyo AI and its licensors retain all rights, title, and interest in the Services.

5. Acceptable-Use Rules

You may not: (a) upload or generate content that is illegal, sexually explicit, violent, or infringing; (b) reverse-engineer or interfere with the Services; (c) use the Services to harass, spam, or mislead others; (d) bypass security features; or (e) violate U.S. export controls. We reserve the right to suspend or terminate accounts that breach these rules.

6. DMCA / Copyright Policy

If you believe content accessible via the Services infringes your copyright, send a notice to support@ponyo-ai.com with the information required by 17 U.S.C. §512(c)(3). We will respond in accordance with the DMCA.

7. Termination

You may stop using the Services at any time. We may suspend or terminate your account immediately for violation of these Terms or for suspected abuse (including abuse of the credit or referral systems). Sections 4, 7, 10–14 survive termination.

8. Beta Features

Features labelled "beta" are experimental, may be changed or withdrawn at any time, and are provided "as is" without warranty.

9. Referral Programme

Entering a code. Each user may enter exactly one invite code within 30 days of registration to receive 100 credits.
Earning credits. When someone enters your code, both of you receive 100 credits. You may earn a maximum of 3 successful invitations per UTC day and 3 000 total credits.
Abuse prevention. Credits may be revoked for self-invitation, mass account creation, emulator use, or similar abuse. We may modify or discontinue the programme at any time without liability.

10. Disclaimers

The Services and all content are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, Ponyo AI and its affiliates will not be liable for any indirect, consequential, exemplary, or punitive damages. Our total liability to you for any claim will not exceed the greater of (i) the amounts you paid to Ponyo AI in the preceding 12 months, or (ii) USD $10 000.

12. Indemnification

You agree to indemnify and hold harmless Ponyo AI, our affiliates, and service providers from any claims or losses arising from your (a) breach of these Terms, (b) violation of law, or (c) misuse of the Services.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively by binding arbitration in San Francisco County under the same procedural rules referenced in the Hula example, including the class-action waiver.

14. General

If any provision is found unenforceable, the remaining provisions will remain in effect. We may assign these Terms; you may not. These Terms constitute the entire agreement between you and Ponyo AI regarding the Services.
